Izin PIRT adalah istilah yang lebih umum dikenal untuk SPP-IRT. SPP-IRT sendiri singkatan untuk Standar Pemenuhan Komitmen Produksi Pangan Industri Rumah Tangga (Lampiran PP no 5 tahun 2021).

SPP-IRT atau PIRT dikeluarkan oleh bupati atau walikota melalui dinas kesehatan sebagai tanda bahwa suatu produk pangan industri rumah tangga telah memenuhi syarat untuk diproduksi dan diedarkan dalam wilayah kekuasaan bupati/walikota yang mengeluarkan PIRT tersebut (lihat pasal 43 PP no 28 tahun 2004).

Tidak semua produk pangan dapat menggunakan PIRT sebagai izin produksi dan edar. Hanya jenis pangan di bawah ini yang dapat diproduksi dan diedarkan menggunakan PIRT. Pangan yang tidak terdapat di daftar di bawah harus memiliki Sertifikat Pendaftaran Pangan Olahan yang dikeluarkan oleh Badan Pengawasan Obat-obatan dan Makanan (BPOM MD) sebagai izin edar.

Produk Pangan yang Dapat Memiliki Izin PIRT

Izin edar PIRT melekat pada jenis produk bukan badan usahanya. Jika pelaku usaha menghasilkan beberapa jenis produk dari satu sarana produksi yang sama, maka pelaku usaha perlu mendaftarkan semua varian produk yang dihasilkan agar petugas Dinas Kesehatan dapat memberikan kode nomor P-IRT yang sesuai untuk masing-masing produk.

Sesuai namanya, hanya industri yang berskala rumah tangga yang dapat mengajukan PIRT. Selain itu produk-produknya juga terbatas pada yang tercantum di daftar di bawah ini (sumber: Lampiran II Peraturan BPOM no 22 tahun 2018).

Selama produk pangan yang hendak dipasarkan termasuk dalam daftar di atas siapa pun dapat mengajukan PIRT (baik perseorangan maupun badan usaha seperti CV serta badan hukum seperti PT).

Selain itu, jenis pangan di bawah ini juga dapat didaftarkan SPP-IRT:

  •  Masa simpan lebih dari 7 hari dalam suhu ruang
  •  Pangan berkemas dan berlabel
  •  Bukan makanan impor
  •  Tidak mencantumkan klaim

Pemilik usaha pangan dengan hasil usaha produk beralkohol, produk susu atau olahan susu, produk yang dikemas dalam bentuk kaleng, menggunakan Bahan Tambahan pangan untuk memperpanjang masa kadaluarsa, produk pangan khusus dengan klaim tertentu (disertai klaim sebagai makanan untuk program diet tertentu, makanan pendamping ASI, makanan bayi, makanan untuk lansia, dsb) tidak dapat menggunakan SPP-IRT sebagai izin edar, melainkan harus berupa Sertifikat Pendaftaran Pangan Olahan yang dikeluarkan oleh Badan Pengawasan Obat-obatan dan Makanan (BPOM MD).

Pangan Olahan yang Tidak Wajib Memiliki Izin Edar BPOM dan PIRT

Produk pangan olahan dengan kriteria di bawah ini tidak wajib memiliki izin edar BPOM dan PIRT:

  1. Masa simpan kurang dari 7 hari – Pangan olahan siap saji yang disimpan pada suhu beku selama pendistribusian dengan masa simpan kurang dari 7 hari dan diproduksi berdasarkan pesanan tidak wajib memiliki izin edar, baik dari BPOM maupun dari pemerintah daerah kabupaten/kota. Sedangkan pangan olahan beku dan pangan olahan siap saji yang disimpan beku dengan masa simpan 7 hari atau lebih dan diproduksi secara massal wajib memiliki izin edar dari BPOM, bukan dari pemerintah daerah kabupaten/kota.

Pangan Olahan yang Tidak Boleh Menggunakan Izin PIRT dan HARUS BPOM

Produk pangan di bawah ini harus menggunakan izin BPOM dan tidak boleh didaftarkan menggunakan PIRT:

  •  Makanan bayi, makanan khusus (untuk penderita diabetes, dsb)
  •  Makanan kaleng (pangan steril komersil)
  •  Pangan yang diproses dengan pasteurisasi
  •  Pangan yang diproses dengan proses pembekuan
  •  Pangan beresiko tingg (nugget, bakso, sosis, jus, minuman cair)

Bagaimana Cara Mengurus PIRT

Menurut pasal 2 Peraturan BPOM nomor 22 tahun 2018, pengusaha industri rumah tangga yang ingin mendapatkan ijin PIRT harus memenuhi syarat sebagai berikut:

  1. memiliki sertifikat Penyuluhan Keamanan Pangan
  2. lolos pemeriksaan sarana uji produksi pangan dan label pangannya memenuhi peraturan perundang-undangan. Contoh: pemohon izin PIRT perlu memastikan agar pada labelnya terdapat ruang yang cukup untuk memuat nama produk, daftar bahan, berat bersih/isi bersih, nama dan alamat IRTP, kode produksi (yang memuat tanggal produksi), dan nomor Pangan Industri Rumah Tangga (PIRT).

Untuk memulai siapkan dokumen-dokumen sebagai berikut sebagai syarat pengajuan PIRT:

  1. Pas foto 3×4 pemilik usaha rumahan (3 lembar)
  2. Fotokopi KTP pemilik usaha
  3. Denah lokasi bangunan
  4. Surat keterangan domisili usaha (dari kantor kecamatan)
  5. Surat dari puskesmas atau dokter untuk pemeriksaan kesehatan dan sanitasi
  6. Surat izin produksi makanan atau minuman kepada Dinas Kesehatan
  7. Data produk makanan atau minuman yang diproduksi
  8. Sampel hasil produksi makanan atau minuman yang diproduksi
  9. Label produk makanan minuman yang diproduksi
  10. Hasil uji laboratorium yang disarankan oleh Dinas Kesehatan

Daftar PIRT Di Mana?

Setelah menyiapkan dokumen-dokumen di atas Anda dapat melanjutkan dengan:

  1. Mengisi formulir formulir permohonan Sertifikat Produksi Pangan Industri Rumah Tangga (SPP-PIRT). Download format formulir di sini.
  2. Mendaftar ke Dinas Kesehatan agar dilakukan pemeriksaan dan konsultasi mengenai produk pangan yang akan disertifikasi
  3. Mengikuti Pelatihan atau Penyuluhan Keamanan Pangan (PKP) dan memperoleh sertifikatnya. Karena PKP bersifat nasional maka Anda dapat mengikuti PKP yang diadakan di wilayah lain jika kuota di wilayah usaha Anda telah penuh.
  4. Jika Anda lolos tes PKP (nilai tes minimal 60) maka akan diadakan kunjungan ke lokasi produksi, apabila tidak lolos maka akan diarahkan ke BPOM.
  5. Dalam survei kunjungan akan dicek beberapa aspek, seperti pemeriksaan sarana lingkungan, hasil sampel pangan dan lain-lain
  6. Setelah semua sampel dan persyaratan lain diterima, izin PIRT akan diterbitkan oleh Dinas Kesehatan

Alur Penerbitan SPP-IRT di OSS RBA

  1.  Pemohon login ke OSS atau datang ke DPMPTSP
  2.  Input kelengkapan data di OSS (untuk dapat NIB)
  3.  Buat permohonan UMKU untuk SPP-IRT
  4.  Tekan link pemenuhan komitmen di OSS (nanti diarahkan ke aplikasi sppirt untuk pengajuan new product)
  5.  Tidak perlu login lagi, NIB langsung tersimpan di app spprit. Apabila data NIB belum terdaftar di app spprit wajib dilengkapi di app spprit dulu datanya
  6.  Pemohon input data produk, rancangan label, penyataan komitmen
  7.  Otomatis divalidasi sistem dan nomor P-IRT akan muncul otomatis
  8.  Peneritan SPP-IRT (semuanya 1 hari apabila data dan dokumen lengkap dan sesuai)

Biaya Pengurusan PIRT

Pemerintah tidak mengenakan biaya untuk mendapatkan PIRT namun Anda tetap harus membayar biaya uji sampel bahan baku di laboratorium. Biaya uji sampel ini tergantung pada laboratorium dan sampel yang perlu diuji.

Bagaimana Masa Berlaku SPP-IRT?

Masa berlaku izin PIRT dipengaruhi hal-hal berikut.

Jangka waktu

Izin PIRT berlaku paling lama 5 (lima) tahun terhitung sejak tanggal penerbitan dan dapat diperpanjang paling lambat 6 (enam) bulan sebelum masa berlakunya berakhir serta selama memenuhi persyaratan.

Skala produksi

Selain itu jika lokasi rumah tangga sudah tidak memadai lagi sebagai tempat produksi dan perlu pindah ke lokasi yang lebih besar di luar rumah tinggal maka PIRT yang dimiliki tidak berlaku lagi dan pemilik usaha harus mengajukan sertifikasi BPOM sebagai izin edar. Hal ini juga berlaku walaupun skala usahanya masih berada pada kategori UKM (omzet sampai Rp 50 milyar per tahun menurut UU No. 20/2008) tentang Usaha Mikro, Kecil, dan Menengah, sebagaimana telah diubah dengan UU No 11 Tahun 2020 tentang Cipta Kerja

Wilayah pemasaran

Izin PIRT hanya berlaku untuk distribusi dan produksi di wilayah yang mengeluarkan izin. Jika Anda ingin mendistribusikan dan memperluas lebih luas Anda harus mengajukan permohonan izin edar dari BPOM.

Perbedaan Izin PIRT dan BPOM

Perbedaan izin PIRT dan BPOM terletak pada kriteria di bawah ini:

Lokasi usaha

  • PIRT dapat diajukan oleh pemilik usaha yang lokasi usahanya di rumah
  • Pemilik usaha yang lokasi usahanya terpisah dari rumah tangga wajib mengajukan izin BPOM MD atau ML

Produksi pangan olahan

  • Izin PIRT diperuntukkan bagi produk pangan olahan yang diproduksi secara manual hingga semi otomatis.
  • Sedangkan izin BPOM MD/ML diperlukan oleh produk pangan olahan yang diproduksi secara manual, semi otomatis, otomatis atau menggunakan teknologi tertentu seperti UHT, pasteurisasi dan lain-lain.

Jenis pangan

  • Jenis pangan yang diperbolehkan menggunakan izin PIRT tercantum di lampiran Peraturan BPOM no 22 tahun 2018 tentang Pedoman Pemberian Sertifikat Produksi PIRT (lihat daftar di atas atau download di sini).
  • Jenis pangan yang terdapat maupun tidak terdapat di di lampiran Peraturan BPOM no 22 tahun 2018 tentang Pedoman Pemberian Sertifikat Produksi PIRT dapat mengajukan izin BPOM MD/ML.

Kewenangan

  • SPP-IRT atau PIRT berada di bawah kewenangan Pemerintah Daerah, oleh karena itu diajukan kepada Bupati/Gubernur
  • Izin BPOM berada di bawah kewenangan BPOM langsung, oleh karena itu diajukan langsung kepada Kepala Badan Pengawas Obat dan Makanan

The implementation of OSS makes more investors interested in running a  trading business in Indonesia. Before OSS, parties who intend to import must obtain a special permit in the form of API-U or  API-P (depending on the product to be imported).

Since the enactment of OSS investors and importers no longer need to obtain Angka Pengenal Impor (API or Import Identification Number) and Nomor Induk Kepabeanan (NIK or Custom Identification Number) as basic import permits. After the business entities complete the registration through OSS  they will acquire an NIB (Nomor Induk Berusaha or Business Registration Number) which also applies as Tanda Pendaftaran Perusahaan (Company Registration Number), Nomor Identifikasi Importir (Importer Identification Number) and Nomor Induk Kepabeanan (NIK) provided the business entities have chosen to activate all of their Customs Activity (Akftifitas Kepabeanan) when filling data in OSS before the NIB is issued. .

Difference between NIB and API/NIK

  • Another convenience is that NIB remains valid as long as the company operates so that the company no longer needs to renew the API every 5 years. However, the company still has to ensure all import conditions required by the authorities are properly met.
  • Additionally, companies are no longer required to apply for a permit renewal due to changes in company data or information. An update in the company’s OSS profile is enough.
  • In the new system (post-OSS), only directors can be registered for the signing of import documents.
  • The time it takes to issue API-P or API-U is approximately up to 5 months. NIB is considered faster because OSS has been integrated to the Indonesian customs and excise system.
  • A company was not allowed to have both API-P and API-U at the same time, but now a company in possession of NIB can do both activities allowed under API-P and API-U at the same time.

What to do after submitting LKPM?

After submitting LKPM online to BKPM, the company should check the LKPM submission’s status. There are 4 (four) LKPM statuses that should be of concern to the company:

  1. Draft – LKPM has not been submitted to BKPM. LKPM draft can be edited and sent to BKPM at a later time no longer than the submission deadline
  2. Sent – LKPM has been sent to BKPM, but has not been reviewed by the BKPM’s LKPM officer/PIC
  3. Revision Needed – LKPM submitted to BKPM has been reviewed and needs revision. To see what the revisions are, you can reopen every submission step. Pay attention to the “Catatan Perbaikan” or Repair Notes field or check the email of the person in charge of your company’s LKPM submission.
    • The Company can answer the questions asked by BKPM in the column “Permasalahan yang Dihadapi Perusahaan” or Problems/Constraints Faced by the Company in the “Realisasi” or Realization step.
    • Please note that based on Article 3 Paragraph (4) of BKPM Regulation No. 7 of 2018, if the company does not answer or make improvements to LKPM with the “Perlu Perbaikan” or Revision Needed status then the company is considered not submitting the LKPM in question.
  4. Approved – The LKPM submitted to BKPM has been reviewed and approved by the LKPM officer.

Can I revise the already submitted LKPM?

  • If the LKPM status is “Sent”, the company can contact BKPM officer / PIC through FO Dalak on the 2nd Floor of the BKPM Office or try reaching them through contact information on this page and ask to “return” the LKPM that has been sent. The company can then revise the LKPM. During revision the LKPM’s status switches to “Perlu Perbaikan” or Revision Needed.
  • If the LKPM status is “Disetujui” or Approved then the LKPM is no longer available for revision. The company can revise the LKPM for the next period.

What if the total realization of investments recorded in LKPM is not the same as the company’s financial records?

In this case, the company can contact the BKPM officer / PIC through FO Dalak on the 2nd Floor of the BKPM Office and inform the matter in the “Permasalahan yang Dihadapi Perusahaan” or Problems Faced by the Company field on the online LKPM page.


What if the LKPM is submitted past the deadline?

LKPM cannot be submitted later than the specified deadline (Article 10 paragraph 5 letter b). So if the company submits the LKPM past due, the company can accumulate additional investment as much as possible within the last 1 (one) year.

This also applies to companies submitting their first LKPM report (maybe due to ignorance/lack of information regarding LKPM submission), then the investment realization value that can be accumulated is the investment value in the last 1 year. You can write the explanation in the “Permasalahan yang Dihadapi Perusahaan” or Problems Faced by the Company field.

Example:

Company A neglected the LKPM quarter III, IV of 2018 and quarter I, II, III of 2019 period submission. At the beginning of the fourth quarter of 2019 the company received a warning letter from BKPM.

After checking with company A’s finance department, additional investments were obtained during the second quarter of 2018 to the fourth quarter of 2019 as follows:

What Is LKPM?

LKPM (Laporan Kegiatan Penanaman Modal or Investment Activity Report) is a report on investment, labor, production, partnership as well as other obligations realization and problems faced that must be submitted periodically (Article 1 section (20) BKPM Regulation No. 5/2021).

Is Your Company Required to Submit LKPM?

You are obliged to submit LKPM, except:

  1. Your company has an investment value of less than Rp. 1.000,000,000 (one billion Rupiah);
  2. Your company is in non-bank financial institution, insurance, banking as well as upstream oil and gas sector;
  3. Your company has a Principle Permit (IP – Izin Prinsip), Investment Registration (PI – Pendaftaran Penanaman Modal), and/or an inactive or expired Business License (IU – Izin Usaha)

When to Report LKPM?

There are two types of LKPM based on the business scale:

Small scale business LKPM – Submitted by businesses having less than Rp 5 billion capital. They are to submit the LKPM per semester.

The submission schedule is as follows:

  • First Semester. The report consists of January – June activities and should be submitted no later than July 10th of the current year
  • Second Semester. The report consists of July – December activities and should be submitted no later than January 10th of the following year

Medium to large scale business LKPM – Submitted by businesses having between Rp 5-10 billion capital (medium) and more than Rp 10 billion capital (large). They are to submit the LKPM per quarter.

The LKPM submission schedule is as follows:

  • First Quarter, consist of Januari – March actvities and should be submitted no later than April 10th of the current year
  • Second Quarter, consist of April – June actvities and should be submitted no later than July 10th of the current year
  • Third Quarter, consist of July – September actvities and should be submitted no later than October 10th of the current year
  • Fourth Quarter, consist of October – December actvities and should be submitted no later than January 10th of the following year

Sanctions for Failing to Submit LKPM

BKPM (Badan Koordinasi Penanaman Modal or Investment Coordinating Board) will send three warnings one after another in writing if:

  • You fail to submit LKPM for two consecutive periods, or
  • It is your first LKPM without any additional investment realization for four consecutive periods in a row with zero realization value.

BKPM may also issue a temporary suspension if you don’t fulfill your obligations on minor infractions. Finally, revocation of the business permits or business activity may occur if you don’t fulfill your obligations on medium infractions.

The time period of each action taken by BKPM upon failure to submit LKPM is as follows:

  • First written warning: 30 working days, if there’s no response then
  • Second written warning: 15 working days, if there’s no response then
  • Third written warning: 10 working days.
  • Further sanctions may range from temporary suspension to termination of business permit and/or business activity (refer to Article 55-62 BKPM Regulation no 5 of 2021 for comprehensive list of sanctions).

Sanctions are voided when obligations are submitted and responses are sent to the OSS system.

Documents Needed to Submit LKPM

The following supporting data are needed to fill out the LKPM form.

For companies in the construction phase (prior to commercial operational)

Financial/expense data:

  1. Land purchase and maturity
  2. Building construction
  3. Machine and spare parts purchase
  4. Others, include: all operational expenses (payroll, rental expense, etc)

For companies in the production phase (parallel to commercial operational)

  1. Fill out a form stating that the company is ready to enter commercial production phase prior to completing commercial production LKPM
  2. Financial / expense data:
    1. Fixed capital, include: land, building, machines, etc.
    2. Working capital
    3. Production realization
    4. Company obligations:
      • Companion labor training partnership
      • Corporate Social Responsibility
      • Environmental management obligations – UKL, UPL/AMDAL/Enviromental permit
      • Employment BPJS (Social Security)
      • etc (if required)

In general

  1. Any addition to employment:
    1. Local workers: Male/female, third party outsource workers
    2. Foreign workers: RPTKA, IMTA, data on accompanying local worker who will take place of the foreign worker’s position
  2. Documents related to problems faced including their respective updates
  3. Previous LKPM (if any)

How to Submit LKPM

You can submit LKPM through LKPM Online. However, first you need to obtain NIB by registering your company to the OSS system. Afterward, get access to LKPM by following these steps:

Fill out Company Data

Note: if you lose access to LKPM Online you can email helpdesk.spipise@bkpm.go.id and ask to resend the credentials. They will be delivered within 2 – 3 business days. The credentials will be sent to the registered email address.

Provide the following documents as a reference to obtain Access Right to LKPM Online:

  • Recent deeds and their legalizations
  • Power of attorney for the the person in charge for LKPM granted by the company’s Board of Directors (if the person in charge for LKPM is not the company’s Board of Directors)
  • KTP and/ or Passport of the principal and agent of the power of attorney

With the access right in hand, open and login to LKPM Online. Make sure to write the user ID and password (numbers, capitals) as written in the email you received. You will then be presented with the following interface. Click “Tambah LKPM Baru” to submit a new LKPM.

In the following screen select LKPM delivery phase:

  • If your company only has a Principle Permit (IP) from BKPM, select the CONSTRUCTION stage. The LKPM will be submitted over NIB owned. At this stage, the company is still in the process of building and preparing all the physical needs of the company, for instance:
    • land purchase
    • buildings / factory, roads, drainage, etc. construction
    • purchase of machinery, equipments, spare parts, etc.
    • recruitment costs of contractors for construction work, rent
      land/buildings/machinery and equipment, and other costs not included in categories 1, 2, and 3 during the construction/construction period
  • If your company has a Business License (IU) from BKPM, select the PRODUCTION stage. The LKPM will be submitted based on the business license owned.
  • If your company has neither a Principle Permit nor Business License, select the CONSTRUCTION stage. The LKPM will be submitted over NIB owned.

Once the company has completed the Construction stage and meets the licensing requirements, it’s then ready to enter the commercial manufacturing stage.

  • The amount of Working Capital required in one period is taken from the last LKPM of the Construction stage
  • The Company must submit Pernyataan Siap Berproduksi or Ready to Produce Statement (left side of LKPM Online dashboard) before start filling out the Production Stage LKPM.

  2. Choose the KBLI radio button for the business in question (which is ready for commercial production and has met the requirements)

KITAS is a limited stay permit that allows foreigners to stay in Indonesia temporarily. Indonesia is one of the most popular tourist destinations globally, but it’s also a home away from home for many people.

What A KITAS in Indonesia Is

KITAS stands for “Kartu Izin Tinggal Terbatas”, which translates as “Limited Stay Permission Card”. KITAS was officially introduced in 2013, but it wasn’t until early 2017 that the rules around KITAS were finally clarified.

These days, getting KITAS is now a much simpler process than before… but only if you get your application right! There are so many different requirements that it can be hard to know where to begin – and how to make sure you stay on the right track all the way through. This guide will answer all your questions about KITAS Indonesia.

 

Types of KITAS in Indonesia – How Foreigners Can Use It to Stay in Indonesia

Investor KITAS for Foreign Investors

If you plan to invest and incorporate a company in Indonesia, then obtaining an Investor KITAS is the best way for you to work there. One of the advantages of becoming an investor with this type of stay permit is that they are eligible without needing a Plan of Foreign Worker Employment (RPTKA).

Once you have set up your company, registering for an Investor KITAS is a straightforward process. This visa lasts for 2 years with the possibility of extending it to 5 if needed. Once you’ve reached this threshold, applying for permanent residency or business visas will be possible – giving more choices in future growth!

Work KITAS for Foreign Employees

To obtain Work KITAS, you must have a company in Indonesia to hire you and sponsor your stay. These are just some other requirements that you also need to meet for your application to be considered.

For instance, you have to earn at least $1500 per month, older than 25 years old but not exceed 50 years old. You must also provide 5-years of professional experience related to what job position you will do while living in Indonesia.

Retirement KITAS for Foreign Retirees

The retirement KITAS is a special type of KITAS or stay permit that gives foreigners aged 55 or older the opportunity to retire in Indonesia (extendable up to 5 years). However, business owners and entrepreneurs are not eligible for this status.

Another requirement is that you need to be a citizen of either of these countries:

Argentina, Australia, Austria, Bahrain, Belgium, The Netherlands, Brazil, Brunei Darussalam, Bulgaria, Cyprus, Denmark, UAE, Estonia, Finland, Hungary, India, United Kingdom, Ireland, Iran, Iceland, Italy, Japan, Germany, Canada, South Korea, Kuwait, Liechtenstein, Luxembourg, Maldives, Malaysia, Malta, Egypt, Monaco, Norway, Oman, France, Philippines, Poland, Portugal, Qatar, Russia, Saudi Arabia, New Zealand, Singapore, South Africa, Spain, Suriname, Sweden, Switzerland, Taiwan (PRC), Thailand, USA, and Greece.

Spouse KITAS

If you marry an Indonesian, you can apply for a Spouse KITAS which will give you a 1-year temporary residence permit that limits your work and business activities while staying here. After three years of living in Indonesia or two years of marriage and as long as one does not violate any laws or married conditions during their stay, it’s possible to apply for permanent residency or KITAP.

 

Indonesian KITAS Application Requirements and Procedure

KITAS application procedure is as follows:

  1. The Foreigner’s sponsor needs to apply for Expatriate Employment Plans (RPTKA – Rencana Penggunaan Tenaga Kerja Asing) to the Ministry of Manpower through their online application system.
  2. After obtaining the Expatriate Employment Plans (RPTKA), the Foreigner or his/her Sponsor can apply for KITAS to the local Immigration Office whose authority is over an area where the foreigner lives.
  3. Foreigners who intend to work as expert staff are required to fill out a data application and attach the following requirements:
    1. Self photograph
    2. Insurance
    3. Curriculum Vitae
    4. Educational Certificate
    5. Work Experience Certificate
    6. Telephone and email
    7. Valid passport
    8. Address in Indonesia
  4. The application must be submitted within 60 days since Entry Permit is granted. Additional fee may be charged if it exceeds that period according to applicable laws and regulations
  5. If all requirements are met and a photograph has been taken, the Head of Immigration Office or appointed immigration officer will issue a KITAS within a maximum of 4 (four) working days.

Update: Permenkumham 16/2018 regulates that KITAS can be issued by certain Immigration Checkpoint through these mechanisms:

  1. Grants an Entry Permit sticker that contains said foreign worker data as well as KITAS and Re-entry Permit; and
  2. Grants an electronic KITAS following biometric data retrieval.
  3. The electronic KITAS will be sent electronically through SIMKIM (Immigration Management Information System) to employers of foreign workers, prospective foreign workers, the Immigration Division and immigration offices whose work areas include the residences of said foreign worker.

How Long Does It Take To Get KITAS in Indonesia?

If all requirements are met and submitted correctly, it takes about 7 business days. For WORK KITAS it requires 14 to 21 working days.

How to Renew A KITAS?

You can renew a KITAS through the Ministry of Immigration’s online system.

How Much Is A KITAS in Indonesia?

  1. Compensation for Foreign Worker Employment: USD 1.200
  2. Temporary Stay Visa: USD 150
  3. Temporary Stay Permit:
    1. 1 year effective term: IDR 1.500.000
    2. 2 years effective term: IDR 2.000.000

KITAS FAQ

What is RPTKA?

RPTKA (Expatriate Placement Plan) is an agreement to hire Foreign Workers to work for companies in Indonesia. It is one of the requirements to apply for WORK KITAS. The application for RPTKA can be done through the Ministry of Immigration’s online system.

How long does KITAS last?

KITAS is granted for a maximum of 5 (five) years and is extendable to no more than 10 (ten) years in total (Article 148 of Government Regulation No 48/2021).

KITAS is also granted to Foreigners for temporary jobs for a maximum of 90 (ninety) days and extendable with no more than 180 (one hundred and eighty) days in total (Article 149 of Government Regulation No 48/2021).

Do tourists need to get a KITAS?

No.

What is KITAS and KITAP?

KITAS is a permit granted to Foreigners to live and be in the Indonesian Territory for a limited period of time and KITAP is a permit granted to Foreigners to reside and settle in the Indonesian Territory as a resident of Indonesia.

  1. How does the register a company in Indonesia process work?

  3. What are some of the things foreigners looking to start a business in Indonesia should be aware of before they open their company?
    • Consider getting a professional to register your company. Becoming your own agent can be a daunting task. The change in regulations is always happening, and unless you’re up-to-date with all the latest changes to these rules for starting your company it will lead to disaster! It’s best if someone who knows what they are doing helps us out instead of risking getting rejected or delayed because you don’t know enough about this process.
    • Obtain living and working permits for your foreign employees. Too often start-ups or entrepreneurs make a common mistake: not understanding how difficult it can be for them to run legally within Indonesian borders without permission from the Ministry of Manpower’s Office. There are many rules surrounding these permissions–and sometimes confusion as well–but if you’re willing take an extra step toward doing things by the book then your business will thank you later. In fact, recent changes in legislation mean that working here has never been easier!
    • Always check the building permit (IMB) before leasing. Make sure the building you lease is deemed eligible for business purposes.
    • Fail to report tax and investments accordingly. Your tax card is the key to being able to declare your taxes and avoid penalties. You must report as soon as you get it so that authorities can be notified about any activity or lack thereof when they are monitoring closely, which could result in some pretty hefty fines if ignored over a long period of time!
  4. How long is the business registration process?
    • The process can vary anywhere from 1 month up to 3 months depending on how quickly owners send across their company documentation. But once everything has been submitted successfully, companies will be operational within 30 working days! You can also obtain your business licenses through Online Single Submission licensing application which integrates all business permit applications under one website.
  5. Can foreigners purchase a property in Indonesia?
    • Buying a condominium or apartment and office space is possible for foreigners as long as the building isn’t subsidized government housing and the building’s land status is strata title under the Right to Use (Hak Pakai) with certain conditions that is regulated in Article 69-73 of Government Regulation Number 18/2021.
  6. What are the types of property ownership available for PT PMA in Indonesia?
    • There are 3 types of land statuses available for rent by PT PMA (FDI):
      1. The Right to Cultivate (Hak Guna Usaha or HGU), granted for 35 years and extendable for another 25 years as stipulated in Article 22 Point (1) Government Regulation Number 18/2021. Another renewal will be no more than 35 years.
      2. The Right to Build (Hak Guna Bangunan or HGB), grants the right to build and own a building on land which does not belong to the builder for 30 years and is extendable for a maximum of 20 years.
        • Renewals on State Land (Tanah Negara) and Land with Right to Manage (Tanah Hak Pengelolaan) is available for a maximum of 30 years.
        • Renewal of Right to Build (Hak Guna Bangunan) on a Freehold Title Land (Tanah Hak Milik) is a maximum of 30 years using the deed granting the Right to Build on a Freehold Title Land (Article 37 Point (1) and (2) GR Number 18/2021).
      3. The Right to Use (Hak Pakai) is the right to use and/or collect resources from the land directly controlled by a state, or owned by other persons that grant rights stipulated in an agreement with said person.
        • The Right to Use on a State Land (Tanah Negara) and Land with a Right to Manage (Tanah Hak Pengelolaan) can be obtained for 30 years, extendable for a maximum of 20 years, and can be renewed for a maximum of 30 years.
        • The Right to Use (Hak Pakai) on a Freehold Title (Hak Milik) can be obtained for 30 years max and can be renewed with the deed of granting the Right to Use (Hak Pakai) on the Freehold Title (Hak Milik) – Article 52 Point (1) and (3) GR Number 18/2021.
      4. Right to Cultivate (HGU), Right to Build (HGB) and Right to Use (Hak Pakai) are properties that can be owned by Indonesian citizens or foreigners who have a residence in Indonesia. These entities include companies established under Indonesian law with an office based in the country as well as those foreign companies which have set up a representative office here.
      5. The HGU and HGB ownership transfer is allowed during the contract period. However, certain conditions may apply depending on the land usage rights that come with these properties. The individual land use rights can also be transferred around between different people as needed so long as they comply with all relevant laws in place for such a transfer of property rights.

The rules for starting a business in Indonesia can be overwhelming and hard to understand. But it doesn’t have to be. This article will outline some things you should know before you jump headlong into this new endeavor. Below are 9 steps that will get you started on the right foot with your new business in Indonesia.

Make Sure the Investment Availability for Your Business Sector

Foreign direct investment is a risky venture that many companies would never consider. The decision to invest can be even more difficult if the country you are investing in does not allow it at all or only under certain conditions.

That’s why after deciding which sector or industry you want to work in you need to make sure whether the business sector is open with conditions or altogether closed for foreign direct investment. You can do this by checking the Presidential Decree No. 49 of 2021.

Presidential Regulation no 49 of 2021

While the above regulations list out various sectors that may or not be open with conditions and investments depending on the business field you want to focus on, you will then need to further look up your business classification using the Indonesian Standard Business Classification (Klasifikasi Baku Lapangan Usaha Indonesia or KBLI) that helps break down what types of businesses exist within those fields.

Choose the Type of Company

There are three business entities you can choose for starting a business in Indonesia as a foreign investor. These include:

  1. Foreign Direct Investment Limited Liability Company (FDI LLC) or Perseroan Terbatas Penanaman Modal Asing (PT PMA)
  2. Locally owned Limited Liability Company known as Perseroan Terbatas Penanaman Modal Dalam Negeri (PT PMDN)
  3. Representative Office

We will take a look at the characteristics, advantages of each business entity as well as some disadvantages that you need to be aware of.

PT PMA Characteristics

  1. PT PMA’s (Foreign Direct Investment) capital is sustained by foreign citizens. Foreign business entities or even governments can provide this investment, which comes in various forms such as direct investments and other schemes.
  2. PT PMA needs to have at least two members (a director and a commissioner), each being either an individual or a legal entity. This minimum requirement is designed not only as an assurance that the company will never be left without its key decision-makers but also to prevent situations where one shareholder could unfairly take advantage of another shareholder’s equity stake.
  3. PT PMA is required to prioritize the employment of local workers who will not only produce a quality product but allow for sustainable progress in their organization.
  4. If a PT PMA wants to bring in more people from overseas, the company is also required to train and transfer special technology to local workers.
  5. Foreign investors can set up their companies anywhere in Indonesia. However, the Indonesian Government has determined that the industrial business sector must be established in industrial estates.

PT PMA Advantages

  1. The minimum organizational structure consists of one Director and one Commissioner.
  2. PT PMA has as many rights and obligations as any local company to conduct business in Indonesia. They are subject to the same regulations and laws.
  3. 100% or less company ownership by the foreign investor.
  4. License and permits are easier to obtain.
  5. Lower on-site tax or import duties.
  6. Qualifies for special customs facilities.
  7. Eligible to sponsor foreign employees.
  8. Temporary (2 years) stay permit for foreign investors.
  9. Foreign investors are eligible for a permanent stay permit provided they have lived in Indonesia for 2 years consecutively.
  10. Re-entry multiple trips for permanent stay permit holders with 24 months maximum duration since the permanent stay is granted.

PT PMA Disadvantages

  1. Required to provide business activities report to BKPM quarterly (every 3 months).
  2. Obliged to present monthly tax reports.
  3. Significantly higher investment plan than PT PMDN (local company) at IDR 10 billion. This amount excludes land and buildings.
  4. Significantly higher minimum paid-in capital at IDR 2.5 billion.
  5. Ownership is regulated by Indonesia Investment Guidance (Daftar Negatif Investasi – DNI).

PT PMDN Characteristics

  1. Similar to PT PMA, a PT PMDN needs to have a minimum of two parties (as a director and a commissioner). Either can be an individual or a legal entity.
  2. Minimum paid-in capital starts from IDR 50 million to 10 billion.

PT PMDN Advantages

  1. Required minimum capital varies according to the company’s business classification.
  2. The company is allowed to have three main business activities.
  3. Limited Liability Company is bound and protected by company activities.
  4. Flexibility to replace leadership by General Meeting of Shareholders(GMS) or Rapat Umum Pemegang Saham (RUPS).
  5. Clear responsibility structure to owners or shareholders.
  6. A shareholder’s liability is limited to how much his share is in the company.
  7. Extra funding or capital can be earned simply by putting in more shares.
  8. Eligilble to sponsor Kartu Izin Tinggal Terbatas (KITAS) or Temporary Stay Permit.
  9. There are no strict limitations.
  10. Allowed to participate in open government tenders.

PT PMDN Disadvantages

  1. The company is 100% owned by local shareholders. Foreigners must apply to said owners for a reliable special purpose agreement, and no one else can purchase shares in the firm’s stock without their approval.
  2. Reports to shareholders include the company’s trade secrets, costing its secrecy.
  3. The process of dissolution, amendments to the articles of association, mergers, and other purposes require time, funds, and approval at the general meeting of shareholders (GMS) or Rapat Umum Pemegang Saham (RUPS).
  4. Subject to separate tax, also applies to dividends.
  5. Establishment requires a lot of time and funds (compared to other entities).

Representative Office

It is common for a representative office (which takes the form of a branch office of the parent company) to be created before the establishment of PT/PMA. The company’s products or services will need to prove they are marketable and suitable for Indonesia, so an examination would follow after approval from Indonesian authorities. Once this has been verified then foreign companies can establish either type of corporation above.

The Indonesian government’s tax policies make opening up a representative office easy to do because they have no large taxes on initial incorporation or transferring ownership shares over time. However, there are some limited regulations governing these businesses which could affect companies who want more than just one location here like limitations concerning dividends paid abroad; restrictions against conducting any banking, sales, and purchase activities from within this type of establishment; limiting foreign equity participation – (which may require special approval).

Representative Office Advantages

  1. No minimum paid-in capital required
  2. No shareholders requirements necessary
  3. No directors and commissioners required

Representative Office Disadvantages

  1. Ownership is regulated by Indonesia Investment Guidance (Daftar Negatif Investasi – DNI).
  2. Operational activity is limited to supervision, monitoring, management, coordination, and research. Any activities to generate profit as well as purchasing services and goods in the name of the representative office are prohibited (should be addressed directly to the parent company).
  3. A specific requirement for representative office location (in a provincial capital and in an office building).
  4. Sponsorship to foreign investors is limited.

Obtain the Deed of Incorporation Through a Public Notary

Once investors attain their Principle License (IP), they will be able to register with any public notary office and draft the establishment of an FDI company (PT PMA).

Get Ministry of Justice and Human Rights’ (SK HAM) Approval

The Ministry of Justice and Human Rights will need to approve the incorporation draft mentioned above before it can be published in the state gazette.

Get Provincial Level Permits and Licenses

After getting the company deed approved, investors will need to apply for provincial government licenses that refer mainly to regional regulation and certification required by business operating entities. Regulated by what sector the business is in, the licenses needed are Company Domicile Certificate (SKDP), Environmental License, Building Permit (Izin Mendirikan Bangunan or IMB), Nuisance Ordinance Permit, Location Permit, and Company Registration Certificate.

Obtain Company Tax Identification Number (Nomor Pokok Wajib Pajak or NPWP)

The next step is to register the company at the Directorate General of Taxes (DGT) with the necessary documents to obtain a tax ID (Nomor Pokok Wajib Pajak – NPWP).

Obtain a Single Business Identity Number (Nomor Induk Berusaha or NIB)

The next mandatory step is to apply for a Single Business Identity Number (Nomor Induk Berusaha or NIB). This identification number serves as multiple licenses in the past such as:

  • Company Registration Certificate or Tanda Daftar Perusahaan (TDP)
  • Import Identification Number or Angka Pengenal Impor (API)
  • Customs Identification Number or Nomor Identitas Kepabeanan (NIK)

Additionally, NIB also serves as registration ID for Health and Social Security Systems or BPJS Kesehatan and BPJS Ketenagakerjaan for companies.

Apply for Other Licenses

Pre-operational additional licenses may be required depending on the business sector. Such additional licenses are commercial and tourism licenses.

In this article we will look at what force majeure means, types of force majeure, the consequences and finally does Covid-19 fall into force majeure category.

The COVID-19 virus, which continues to spread throughout Indonesia and is now considered a national disaster in Presidential Decree No. 12 of 2020 on the Stipulation of Non-Natural Disasters of the Spread of COVID-19 as a National Disaster.

Regions then scramble to implement Large-Scale Social Restrictions (“PSBB”) in order to contain the spread. The Governor of DKI Jakarta established Gubernatorial Regulation No. 33 of 2020 on the Implementation of Large-Scale Social Restrictions to Handle Corona Virus Disease (COVID-19) in the Province of Special Capital Region of Jakarta which is then followed by surrounding areas such as Bandung, Sumedang, Bekasi, Tangerang, and others.

In relation to PSBB, one of the restrictions imposed is in the form of temporary suspension of activities in the workplace / office or work from home with the exception of businesses engaged in the health, food, energy, communication and information technology (IT), finance, hospitality, logistics, strategic industries, basic services, construction, public utilities and industries designated as national vital objects and certain objects, and / or daily needs.

Then there is a call for physical distancing to suppress the spread of COVID-19. For businesses, these restrictions are costly for suppliers as well as distributors who depend on steady flow of supply. Distances between people can help stop the spread of COVID-19; however, this also limits economic potential for companies that rely on close proximity interactions with customers or vendors to be successful.

Many people have the opinion that Presidential Decree No. 12 of 2020 on Stipulation of Non-Natural Disasters of the Spread of COVID-19 as a National Disaster can be used as a basis for businesses to declare force majeure. Therefore we will take a look on its definition and if Covid-19 falls to said criteria.

Force Majeure in Indonesian Law

Article 1244 of the Indonesian Civil Code states:

If there is any reason for such, the debtor is to compensate for costs, damages and interests if he cannot prove, that the non-performance or the late performance of such obligation, is caused by an unforeseen event, for which he is not responsible and he was not acting in bad faith.

Article 1245 of the Indonesian Civil Code states:

No cost, loss and interest shall be reimbursed, if due to circumstances of coercion [overmacht] or due to an unintentional circumstance, the debtor is unable to give or do anything obligatory, or because of such reasons has committed a prohibited act.”

Based on the Articles outlined above, the elements of force majeure are :

  1. Unforeseen circumstances;
  2. There is no bad faith to the debtor;
  3. Accidental circumstances;
  4. The situation prevents the debtor from performing;
  5. If the performance is implemented will be subject to a ban;
  6. Circumstances arising out of the will and ability of the parties;
  7. The circumstances cause harm to either party.

Usually the parties involved will include a clause regarding force majeure in the agreement in order to obtain legal certainty. The agreement will usually regulate the consequences of force majeure events.

 

Types of Force Majeure

Theoretically, there are two types of force majeure:

  1. Absolute Force Majeure

Absolute force majeure occurs when the obligation is completely unenforceable, so the fulfillment of such performance cannot be carried out neither by anyone nor by the parties; and

  1. Relative Force Majeure

Force majeure can relatively occur when an agreement is still possible to implement but with a very large sacrifice or cost on the part of the debtor.

 

Consequences of Force Majeure

If force majeure is declared then the consequences may be as follows :

  1. Liability Delay

Delay of this Obligation occurs if the Force Majeure is temporary, e.g. PSBB has been revoked and the Company can resume operations;

  1. Termination of Agreement

Termination of the Agreement in the event of such obstruction is permanent and with the expiration of the Agreement the counter-performance also terminates.

 

Can COVID-19 be Categorized as Force Majeure?

We’ll need to take a look at the agreement. In the event that the agreement expressly states that the outbreak or access closure (lockdown) is a state of force majeure then Covid-19 and the closure of access by the government can be applied as a reason for force majeure.

If the agreement does not mention the above matters then we need to consider the performance in relation to how related the performance is to the unexpected event.

For example, if the performance is an obligation that has nothing to do with outbreak or access closures such as paying debts, then the outbreak or access closure cannot invalidate the obligation, because ATMs are still functioning and there is mobile banking where payments can be made through online.

Furthermore, if the state of force majeure is temporary, then the debtor’s obligation is merely delayed as opposed to terminated unless affirmed otherwise in the agreement or both parties agree to do so. Thus, if the coronavirus outbreak ends or the government revokes the lockdown, the creditors can demand fulfillment of the debtor’s performance or may also choose to terminate the agreement with compensation. This is in accordance with the provisions of Article 1267 of the Indonesian Civil Code which states:

“The party to which the performance is not fulfilled, may choose; force the counterparty to comply with the agreement where such fulfillment is still possible, or demand the cancellation of the agreement, with compensation of costs, losses and interest.”

In practice, in the event of a performance fulfillment agreement, due to the coronavirus outbreak, the parties to the mutual agreement may reschedule the fulfillment of their performance either in terms of payment or other obligations.
